The other side says it is a "standard contract". Should I still have it reviewed?
Yes. A standard contract was drafted by the other side, in its favour. A focused review identifies the clauses that really matter, such as limitation of liability, termination, liquidated damages and indemnities, and lets you ask for changes before signing rather than after.
Why do we need a shareholders' agreement if the company has articles?
The articles regulate the company in general terms. A shareholders' agreement regulates what usually causes disputes: decision-making, appointing directors, transferring shares, bringing in investors, and separation between the partners.
Can the contract be drafted in English?
